These Terms & Conditions (“Terms”) govern your access to and use of the LocalTECH website, AI tools, digital services, consulting services, subscriptions, and related products and features (collectively, the “Services”).
By accessing or using our Services, creating an account, or purchasing a service, you agree to these Terms.
If you do not agree with these Terms, please do not use the Services.
1. About LocalTECH
LocalTECH is a Vancouver-based AI and digital consulting business providing services that may include:
- AI tools and AI-assisted services
- AI and digital consulting
- Business automation
- AI assistants and chatbots
- Website strategy, development and optimization
- Digital marketing and social media services
- Content and creative tools
- Business workflow solutions
- Other technology and digital services

2. Eligibility and Accounts
You must be legally capable of entering into an agreement to use paid LocalTECH services.
Some features may require you to create an account.
You agree to provide accurate information and to keep your account credentials secure. You are responsible for activity occurring through your account unless otherwise required by applicable law.
If you believe your account has been accessed without authorization, please contact us promptly.
3. AI-Powered Services
LocalTECH may provide tools that use artificial intelligence and third-party AI technologies to generate or process text, images, audio, code, documents, analysis, and other content.
AI-generated results may sometimes be incorrect, incomplete, outdated, inappropriate, or unexpected.
You are responsible for reviewing and evaluating AI-generated output before using or relying on it.
AI-generated content should not automatically be treated as professional legal, medical, financial, accounting, employment, or other regulated professional advice.
For important decisions, obtain advice from an appropriately qualified professional where necessary.
4. Your Content and AI Inputs
You may be able to submit prompts, documents, images, recordings, text, data, and other materials (“User Content”) through our Services.
You retain your rights in User Content that you own.
By submitting User Content, you authorize LocalTECH and the service providers necessary to operate the applicable feature to process that content for purposes such as providing the requested service, generating results, maintaining security, and operating the platform.
You represent that you have the necessary rights and permissions to submit and process your User Content.
Do not upload information or material that you do not have the right to use.
5. Confidential and Sensitive Information
You should exercise caution when submitting confidential or sensitive information to AI-powered tools.
Unless a particular service agreement expressly provides otherwise, do not submit passwords, banking credentials, authentication codes, highly sensitive personal information, trade secrets, or confidential third-party information that you are not authorized to process.
For consulting projects involving confidential business information, additional confidentiality or project-specific agreements may be used.
6. Acceptable Use
You agree not to use LocalTECH Services to:
- Violate applicable laws or regulations.
- Infringe another person's intellectual property, privacy, or other rights.
- Upload malicious software, viruses, or harmful code.
- Attempt to gain unauthorized access to accounts, systems, or networks.
- Interfere with the security or operation of the Services.
- Circumvent usage restrictions or security measures.
- Impersonate another person or misrepresent your identity.
- Engage in fraud, deception, abuse, harassment, or other unlawful activity.
- Use the Services in a manner that could damage LocalTECH, our infrastructure, our providers, or other users.
We may restrict or suspend access where reasonably necessary to protect the Services, our users, third parties, or LocalTECH.
7. AI-Generated Content
Subject to applicable law and any restrictions imposed by underlying technology providers, you may generally use outputs generated for you through the Services.
However, AI-generated material may not always be unique. Other users may receive identical or similar results.
LocalTECH does not guarantee that AI-generated output will qualify for copyright, trademark, patent, or other intellectual-property protection.
You are responsible for checking whether generated material is suitable and lawful for your intended use, particularly for commercial publication or branding.
8. Consulting & Professional Services
Consulting engagements may include recommendations concerning AI, automation, websites, digital marketing, workflows, software, and business technology.
Recommendations are based on information available at the time and the circumstances communicated by the client.
Technology changes rapidly, and LocalTECH does not guarantee that a particular strategy, technology, automation, marketing campaign, website change, or AI implementation will produce a specific business or financial result.
Larger or customized projects may be governed by a separate proposal, statement of work, contract, or service agreement.
Where such an agreement conflicts with these general Terms regarding the specific project, the project-specific agreement will generally govern that project.
9. Free Consultations
LocalTECH may offer complimentary introductory consultations or AI opportunity sessions.
A free consultation is intended to explore your business needs and potential opportunities.
It does not obligate either party to proceed with a paid project.
Any pricing, timeline, scope, or recommendations discussed during an introductory conversation remain preliminary until confirmed in writing where appropriate.
10. Pricing, Payments & Subscriptions
Prices for LocalTECH products and services may vary depending on the plan, service, project, usage, or scope of work.
Applicable prices will normally be displayed before purchase or provided in a proposal or agreement.
For subscription services, charges may recur according to the billing period selected until cancelled in accordance with the applicable subscription terms.
Taxes may be added where required.
Third-party payment processors may process payments on behalf of LocalTECH.
11. Cancellations and Refunds
Cancellation and refund eligibility may depend on the product or service purchased.
For subscriptions, cancellation generally prevents future renewal charges but does not necessarily result in a refund for a billing period already purchased, except where required by law or otherwise stated at purchase.
Custom consulting, development, automation, marketing, or other project work may have separate cancellation, deposit, milestone, and refund terms contained in the applicable proposal or service agreement.
Nothing in these Terms limits consumer rights that cannot legally be excluded.
12. Third-Party Services
LocalTECH may integrate with or rely upon third-party platforms, AI providers, hosting providers, payment processors, APIs, software, analytics systems, or other services.
Your use of certain third-party services may also be subject to their respective terms and policies.
LocalTECH does not control independent third-party services and cannot guarantee their continued availability, performance, pricing, or functionality.
A third-party provider may change or discontinue a feature without our control.
13. Intellectual Property
Unless otherwise stated, the LocalTECH website, branding, logos, interface, original written content, graphics, software components, and other materials created by or for LocalTECH are owned by or licensed to LocalTECH and are protected by applicable intellectual-property laws.
You may not reproduce, distribute, sell, modify, or commercially exploit LocalTECH proprietary materials without authorization, except where permitted by law.
LocalTECH branding may not be used in a manner that falsely suggests endorsement, partnership, or affiliation.
14. Websites, Automation & Custom Work
For custom projects, ownership and licensing arrangements may vary depending on the work performed.
A project agreement may specify ownership of website designs, code, automation workflows, graphics, content, software configurations, or other deliverables.
Third-party software, themes, plugins, APIs, stock assets, fonts, AI models, or other licensed materials remain subject to their respective licenses.
Unless expressly agreed otherwise, LocalTECH cannot guarantee that third-party technologies will remain available indefinitely or remain compatible following future updates.
15. Service Availability
We aim to provide reliable Services, but we do not guarantee uninterrupted or error-free operation.
Services may occasionally be unavailable because of maintenance, updates, technical problems, security incidents, internet outages, third-party provider issues, or circumstances beyond our reasonable control.
Features may be added, changed, limited, replaced, or discontinued as LocalTECH evolves.
16. No Guaranteed Business Results
LocalTECH helps businesses identify opportunities and implement practical digital solutions, but results will vary.
We do not guarantee specific increases in revenue, sales, leads, search rankings, followers, productivity, cost savings, customer engagement, or other business outcomes.
Your results may depend on numerous factors outside LocalTECH's control.
17. Disclaimer
To the extent permitted by applicable law, the Services are provided on an “as available” basis without guarantees that every feature, AI output, recommendation, integration, or third-party service will always be accurate, available, or suitable for every purpose.
Nothing in these Terms excludes warranties or protections that cannot lawfully be excluded.
18. Limitation of Liability
To the maximum extent permitted by applicable law, LocalTECH will not be liable for indirect, incidental, special, consequential, or similar damages arising from use of or inability to use the Services, including loss of profits, business opportunities, data, or goodwill.
Any limitation of liability is subject to rights and remedies that cannot legally be excluded or limited.
Specific consulting or development projects may contain additional liability provisions in their respective agreements.
19. Indemnification
To the extent permitted by law, you agree to be responsible for claims, losses, or expenses arising from your unlawful use of the Services, your violation of these Terms, or your infringement of another person's rights.
This provision does not apply where prohibited by applicable law.
20. Suspension or Termination
We may suspend or terminate access to the Services where reasonably necessary because of serious or repeated violations of these Terms, unlawful activity, security concerns, non-payment, abuse of the platform, or conduct that creates material risk to LocalTECH or others.
You may stop using the Services at any time, subject to any applicable subscription or project obligations.
21. Privacy
Our handling of personal information is described in our Privacy Policy.
The Privacy Policy should be read together with these Terms when using LocalTECH Services.
22. Governing Law
These Terms are governed by the applicable laws of British Columbia and the federal laws of Canada applicable therein, without limiting any mandatory rights that may apply to you under applicable consumer or privacy legislation.
Any dispute will be handled in accordance with applicable law and any project-specific agreement between you and LocalTECH.
23. Changes to These Terms
We may update these Terms as our Services, technology, or legal requirements change.
The updated version will be posted on our website with a revised Last Updated date.
Your continued use of the Services following changes may constitute acceptance where permitted by applicable law.
